Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Telos forecasting, modeling, and goal-setting platform and related websites, applications, and services (collectively, the “Services”) provided by Telos (“Telos,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
1. Accounts and eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for the accuracy of registration information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
2. License and access
Subject to these Terms and any applicable order or subscription, Telos grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for your organization’s internal business purposes during the applicable term. We reserve all rights not expressly granted.
3. Acceptable use
You agree not to, and not to permit any third party to:
- copy, modify, reverse engineer, decompile, or create derivative works of the Services;
- resell, sublicense, rent, or otherwise commercially exploit the Services;
- access the Services to build a competing product, or benchmark it for a competitor, without our prior written consent;
- interfere with or disrupt the integrity, performance, or security of the Services, or attempt to gain unauthorized access;
- upload unlawful, infringing, or malicious content, or use the Services in violation of applicable law; or
- exceed usage limits or circumvent access controls or rate limits.
We may suspend or terminate access for any actual or suspected violation, with or without notice, to protect the Services or other users.
4. Your content
You retain ownership of the data, forecasts, models, and other materials you submit to the Services (“Customer Data”). You grant Telos a worldwide, royalty-free license to host, process, transmit, display, and otherwise use Customer Data as necessary to provide, secure, and improve the Services, and to create aggregated or de-identified data as described in our Privacy Policy. You represent that you have all rights necessary to grant this license and that your Customer Data does not violate any law or third-party right.
5. Feedback
If you provide suggestions, ideas, or feedback about the Services, you grant Telos a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use and incorporate it without restriction or obligation to you.
6. Intellectual property
The Services, including all software, design, text, graphics, and the Telos name and marks, are owned by Telos and its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted, these Terms do not transfer any right, title, or interest to you.
7. Third-party integrations
The Services may interoperate with third-party products and services. We are not responsible for, and make no warranties regarding, any third-party product or service, and your use of them is governed by their own terms. We may disable an integration at any time.
8. No financial advice
The Services are tools for modeling and forecasting. Outputs are estimates based on inputs and assumptions you control, and may be inaccurate or incomplete. The Services do not constitute financial, accounting, investment, legal, or tax advice. You are solely responsible for decisions made in reliance on the Services.
9. Disclaimer of warranties
The Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. Telos does not warrant that the Services will be uninterrupted, error-free, secure, or that outputs will be accurate or reliable. You use the Services at your own risk.
10. Limitation of liability
To the maximum extent permitted by law, Telos and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business interruption, arising out of or relating to the Services, even if advised of the possibility of such damages. Telos’s total aggregate liability for all claims relating to the Services will not exceed the amounts you paid to Telos for the Services in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100) if you paid nothing.
11. Indemnification
You will defend, indemnify, and hold harmless Telos and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your Customer Data, your use of the Services, or your breach of these Terms or violation of any law or third-party right.
12. Term, suspension, and termination
These Terms remain in effect while you use the Services. We may suspend or terminate your access at any time if you breach these Terms, if required by law, or to protect the Services. You may stop using the Services at any time. Upon termination, the rights granted to you cease, and any provision that by its nature should survive — including ownership, disclaimers, limitations of liability, indemnity, and dispute resolution — will survive.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration on an individual basis, and you waive any right to participate in a class or representative action. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
14. Changes to these Terms
We may modify these Terms from time to time. The “Last updated” date above reflects the most recent revision. Material changes will be communicated through the Services or by other reasonable means, and your continued use after an update constitutes acceptance of the revised Terms.
15. Miscellaneous
These Terms, together with any order and our Privacy Policy, constitute the entire agreement between you and Telos regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely.
